Terms of Service.

These Terms of Service (“Terms”) govern the relationship between Lensmind Optics (“Lensmind,” “we,” “us”) and any person or entity (“Buyer,” “you”) that uses lensmindpro.com, submits an inquiry, or places an OEM/ODM order for precision optics, machine vision lenses, or related optical products.

01Acceptance

By submitting an inquiry through our contact form, signing a quotation, or paying a sample invoice, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of a company, you represent that you have authority to bind that company.

02Inquiries and quotations

Inquiries submitted through this site are non-binding. Lensmind aims to respond within one business day. Quotations are valid for 30 days from the date issued, unless marked otherwise. Prices are in USD on an EXW basis (Guangzhou as loading port unless otherwise agreed), exclusive of duties, freight, and destination-market taxes.

03Samples and prototyping

• Catalog samples — shipped from existing designs; lead time confirmed per model and quantity.
• Custom prototypes — run through the 60-working-day prototype-to-production program, with a full test report at the prototype stage.
• Sample fee — credited back when your volume order ships.
• Freight — borne by Buyer for all sample shipments.

Sample images shared by Lensmind remain our copyright unless otherwise agreed in writing.

04Orders, MOQ, and lead times

• Standard MOQ: confirmed per catalog model at quotation.
• Below-MOQ sampling is supported for evaluation; terms are confirmed at quotation.
• Lead times: confirmed per project at quotation for custom programs; repeat orders follow the agreed framework schedule.
• Capacity: approximately 1,000 lenses per month on the current line, varying by product family and complexity.

Lead times begin on the later of: deposit receipt, design freeze, or approved-sample confirmation.

05Payment terms

Standard orders: 50% advance on order confirmation, 50% before shipment, by bank transfer (T/T). More flexible arrangements are discussed for long-term program partners. All transactions carry the invoice currency; Buyer absorbs bank and FX fees on their side.

06Shipping and risk of loss

Standard trade term is EXW, with Guangzhou as the loading port; FOB and other Incoterms can be arranged and are confirmed per order. Risk of loss and title pass to Buyer when goods are handed to the nominated forwarder. Buyer is responsible for export documentation, destination customs clearance, product registration, and import duties. Lensmind provides batch test reports, commercial invoice, packing list, and certificate copies with every shipment.

07Quality and inspection

Lensmind operates under a certified ISO 9001 quality management system. Final inspection is 100% — every unit is tested against the agreed release matrix (typically MTF, distortion, BFL and DOF) and documented, not a random sampling draw. Every batch ships with its test report and an explicit pass/fail judgment. Buyer may appoint a third-party inspector at Buyer’s cost, provided notice is given at least 5 business days before shipment.

08Intellectual property

Lensmind signs an NDA before any drawing, specification, or target image is exchanged. For custom programs, design IP belongs to the customer as set out in the project NDA and contract. Custom tooling is stored free of charge for 5 years after the project and is not reused for any third party. Buyer is solely responsible for ensuring that its branding does not infringe third-party rights in its target markets.

09Warranties and limitation of liability

Lensmind warrants that mass-produced goods will materially conform to the approved sample and the agreed release criteria cited in section 07. Liability for any claim is limited to the invoice value of the affected goods. Lensmind is not liable for consequential, incidental, or lost-profit damages. Buyer must notify Lensmind of any quality claim within 30 days of arrival, with photographs and batch numbers, for evaluation.

10Termination

Either party may terminate an open quotation with written notice. Orders already in production may only be cancelled with mutual written agreement and reasonable compensation for work-in-progress, custom tooling, and raw materials already purchased.

11Governing law and disputes

These Terms are governed by the laws of the People’s Republic of China, excluding its conflict-of-laws rules. Parties agree to attempt good-faith negotiation for 30 days before referring any dispute to the China International Economic and Trade Arbitration Commission (CIETAC). The language of arbitration is English unless both parties agree otherwise.
